Welcome to the Terms of Service (these "Terms") for the website hisolo.ai and its subdomains (the "Website"), and any related applications (the "Apps"), operated by HiSolo, Inc. ("Company", "we", "us", "our"). The Website, the Apps, and any content, tools, features and functionality offered through them are together the "Services".
These Terms govern your access to and use of the Services. Please read them carefully — they include important information about your legal rights. By accessing or using the Services, you agree to these Terms. If you do not understand or agree to them, please do not use the Services.
If you use the Services on behalf of a company or other entity, "you" includes you and that entity, and you represent that you are authorised to bind that entity to these Terms.
1. Who may use the Services
You must be 18 years of age or older to use the Services. By using the Services, you represent and warrant that you meet this requirement.
2. Your account
To use certain features you may need to create an account, or connect an existing account from another provider. You agree to give us accurate, complete and current information. You are responsible for all activity on your account and for keeping your login credentials confidential. You may not let anyone else use your account. Tell us immediately at support@hisolo.ai if you believe your account or credentials have been compromised or used without authorisation.
You may hold only one account at a time unless we agree otherwise, and you may not create an account if we have previously removed yours or barred you from the Services.
3. Using the Services
Inputs, outputs and actions
The Services provide an assistant powered by artificial intelligence. You may provide, or make available to us, prompts, text, documents and other materials for processing ("Input"). The Services use AI to generate responses and other content based on your Input ("Output"), and to take actions on your behalf ("Actions"). Input and Output together are "Materials".
Input
By providing Input, you represent that: (i) you have all rights, licences, consents and authority necessary to submit it and to allow us to use it in connection with the Services; (ii) your submission and our use of it will not breach any third party's rights, any third party's terms and conditions, or applicable law; and (iii) it does not contain material subject to copyright or other proprietary rights unless you have the necessary permission.
Connected services
The Services may interact with third-party websites, applications and services on your behalf (each a "Connected Service"). You authorise the Services to access and interact with Connected Services on your behalf as they judge responsive to your Input, including to collect data from, exchange data with, and take Actions on them.
You are solely responsible for ensuring that interactions carried out on your behalf are permitted under the terms that apply to your use of that Connected Service.
Actions
You authorise the Services to take Actions on your behalf as they judge responsive to your Input. You appoint the Services as your agent to enter into agreements, commitments or transactions on your behalf, and to accept the terms of third-party services they interact with in the course of those Actions. Any such agreements are binding on you as if you had entered into them directly.
Where the Services take an Action on a Connected Service on your behalf, including making a purchase, you agree that: (i) we are facilitating your interaction with that Connected Service; (ii) you authorise us to share relevant information with it or its payment provider, including your payment method; and (iii) for purchases, we do not process the payment, you rather than we are the purchaser, we are not a party to the transaction, the purchase is subject to that provider's terms, and any dispute is between you and that provider.
Responsibilities and risks
The Services are not error-free. Output may be incorrect or incomplete, and Actions may be mistaken. Actions may not be reversible. Verify Output and its suitability before relying on it.
You are responsible for your Input, for Actions taken on your behalf, and for your use of Output, including all consequences — financial, contractual, legal, reputational or otherwise. The accuracy of an Action depends on the Input you give; inaccurate or incomplete Input may produce an incorrect or unintended result. We are not responsible for unintended Actions or for any loss, damage, charge or liability arising from them, including from interactions with any Connected Service.
You represent that you have the rights and authority to authorise Actions on your behalf and to use any payment method, credential or access method you make available to the Services.
You will not use the Services to take Actions, or rely on Output, where doing so without meaningful human review would be unlawful, unsafe or otherwise inappropriate. We may implement safeguards or confirmation steps on certain Actions, but we do not warrant that they will prevent unintended or erroneous Actions. You remain responsible for configuring appropriate permissions and restrictions on each Connected Service, and for monitoring Actions taken for you.
4. Paid services
You may be required to pay fees for certain features. If you purchase a paid Service, you agree to pay the applicable fees and taxes in US dollars and authorise us or our payment processor to charge your payment method. You represent that you are entitled to use the payment method you provide. Access to paid Services begins once payment is received. We may change pricing at any time. Except where the law requires otherwise, all payments are non-refundable.
5. Privacy
Our Privacy Notice describes how we handle information you provide when using the Services.
6. Rights we grant you
We grant you a personal, non-transferable, non-sublicensable, non-exclusive right to access and use the Services in accordance with these Terms. Your access may be interrupted from time to time, including for maintenance, updates or repairs.
Restrictions
You may not, unless the law prohibits the restriction or we give written permission:
- copy, modify, distribute, publish, license, sell, or create derivative works from information obtained through the Services, except as expressly permitted here;
- decompile, reverse engineer, disassemble or decode the Services, or attempt to;
- remove or alter any proprietary notice displayed on the Services;
- use bots, hacks, mods or other unauthorised software designed to modify the Services;
- use the Services in a way that could disable, overburden, damage or impair them, or interfere with anyone else's use;
- attempt to gain unauthorised access to the Services, other users' accounts, or connected systems;
- circumvent or degrade any security or content-protection measure;
- use any robot, spider, scraper or automated process to extract data from the Services;
- use the Services for benchmarking, or to build, improve or train a competing product, service, or AI model;
- introduce viruses or other harmful material;
- submit or generate content that is unlawful, defamatory, obscene, harassing, deceptive, invasive of privacy, or otherwise objectionable, or use the Services for any illegal or disruptive purpose;
- present Output in a fraudulent or misleading way, including by representing it as entirely human-generated;
- use the Services to generate Output that infringes third-party rights; or
- access or use the Services in any way not expressly permitted by these Terms.
7. Ownership
The Services, including their look and feel, content and underlying technology, are protected by intellectual property laws. We and our licensors own all right, title and interest in them.
We do not claim ownership of your Materials. Because of the nature of AI, we make no representation that intellectual property rights will vest in any Output, and other users may receive similar or identical output from similar input.
Feedback
Any feedback or suggestions you give us become our property, and we may use them for any purpose without compensation or attribution to you.
8. Third-party services and materials
The Services may include or link to content, services or materials from third parties, including third-party AI models and Connected Services. We are not responsible for examining or evaluating them and do not warrant or endorse them. Your use of third-party materials may be governed by that provider's own terms, which you agree to comply with.
9. Disclaimers, limitation of liability and indemnity
Disclaimers
Your access to and use of the Services, including Actions taken through them and any Output, is at your own risk. The Services, Output and Actions are provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We make no warranty as to the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Action or Output; harm to your systems or loss of data resulting from your use; compatibility with any other application or system; whether the Services will meet your requirements or be uninterrupted or error-free; or the storage or transmission of your Materials.
You should not rely on the Services or any Output for professional advice of any kind, including financial, legal or medical advice. Nothing in these Terms creates a fiduciary, employment, partnership or similar relationship between us.
Limitation of liability
To the extent permitted by law, we will not be liable for any indirect, special, incidental, consequential, exemplary or punitive damages, or for loss of use, data, profits or business interruption, arising out of or relating to your use of or inability to use the Services, under any theory of liability, even if we have been advised of the possibility.
Our total liability for any claim will not exceed the greater of US$100 or the amount you paid us for the Services in the six months before the claim arose.
Indemnity
You agree to defend, indemnify and hold us harmless from any claims, costs, damages, losses, liabilities and expenses (including legal fees) arising from your breach of these Terms or of any law; your violation of any third party's rights; your misuse of the Services; your Input, Actions and use of Output; or your negligence or wilful misconduct.
10. Dispute resolution
If you have a concern or dispute, please contact us first at support@hisolo.ai — most matters can be resolved informally. Any dispute arising out of or relating to these Terms or the Services that we cannot resolve informally will be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you and we each consent to personal jurisdiction and venue there.
11. General
Termination. If you breach these Terms, the licences we grant end automatically. We may suspend or delete your account and access at any time, with or without notice. Provisions that by their nature should survive termination will do so.
Changes to these Terms. We may modify these Terms; we will update the "Last revised" date and make reasonable efforts to notify you of material changes. Continued use after changes take effect means you accept them.
Changes to the Services. We may change the features and content of the Services at any time and do not guarantee that any particular feature will remain available.
Communications. You agree we may contact you by email, SMS or phone at the details you provide, in connection with your use of the Services.
Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.
Miscellaneous. These Terms are the entire agreement between us regarding the Services. If any provision is unenforceable, it is severed and the rest remains in effect. We may assign these Terms; you may not without our written consent. No waiver of a breach waives any other. The Services are operated from the United States; if you access them elsewhere, you are responsible for compliance with local law.
Export. You may not export or re-export the Services in violation of US export laws, and you represent that you are not located in an embargoed country or on a restricted-party list.
